Terms of Service

These Terms of Service ("Terms") govern your use of Clipdrop Live - both the desktop application and the website at clipdroplive.com (together, the "Service"), operated by Sjuul Studios, a sole proprietorship (eenmanszaak) based in the Netherlands, registered with the Dutch Chamber of Commerce under KVK number 92316476 and VAT (BTW) ID NL004948553B64 ("we", "our", "us").

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who can use Clipdrop Live

You must be at least 16 years old, or the age of digital consent in your country, whichever is higher. By using the Service, you confirm you meet this requirement.

2. The Service

Clipdrop Live is a desktop application that analyses audio and video files you provide and creates short clips. Optional features let you publish those clips to third-party social platforms (TikTok, Instagram, Facebook) using OAuth.

We may add, change, or remove features over time. We may also offer different pricing tiers (Free, Pro, Studio). Tier limits and pricing are described on our website and may be updated.

Early access / beta status

Clipdrop Live is currently distributed as an early-access product. This means: (a) features may change without notice, (b) detection accuracy, export quality, and platform integrations are best-effort and may not work in every scenario, (c) data formats and account structures may evolve, requiring you to re-link accounts or re-create projects. By using an early-access version, you accept this status. Where you are an EU consumer, your statutory rights are not affected by this clause.

3. Your content

You retain all ownership rights in the audio, video, and other content you process with Clipdrop Live ("Your Content"). We claim no rights to Your Content.

Because Clipdrop Live processes Your Content locally on your device, we do not have access to or store Your Content on our servers.

You are responsible for ensuring you have the right to use Your Content. This includes any music, recordings, samples, vocals, or other material that is subject to copyright, neighbouring rights, performer's rights, or other third-party rights. You must obtain any necessary licenses or permissions before processing such content with Clipdrop Live, and before publishing the resulting clips to any platform.

Music rights - important. DJ sets typically contain copyrighted music owned by third parties (record labels, publishers, performers, collecting societies). Clipdrop Live is a tool for processing content you already have the right to use. We do not grant you any music license. We are not a music rights clearinghouse. You - not Sjuul Studios - are solely responsible for:

You agree to indemnify and hold Sjuul Studios harmless from any third-party claims, damages, or costs (including reasonable legal fees) arising from your use of content for which you did not have the necessary rights.

If you connect a third-party social account (TikTok, Instagram, Facebook) to publish clips, your use of those platforms is governed by their own terms and privacy policies. We are not responsible for third-party platforms or for what they do with content you publish to them.

6. Subscriptions and payment

Pro and Studio tiers are paid subscriptions. Pricing is shown on our website in euros and is exclusive of VAT unless stated otherwise; applicable VAT is added at checkout based on your billing country. Payment processing is handled by Stripe, our payment service provider. Subscriptions renew automatically until cancelled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you keep access until then.

Right of withdrawal (EU consumers)

If you are a consumer resident in the European Union, you have the right to withdraw from a purchase within 14 days, without giving any reason, under the Consumer Rights Directive. To exercise this right, email business@sjuulstudios.com within 14 days of your purchase.

For digital content and services, you can lose this right if you expressly consent to immediate performance and acknowledge that you lose the right of withdrawal once delivery has begun. We will ask for this explicit consent at checkout. If you do not consent, you can use the 14-day window before access begins.

Refund policy

Outside the statutory withdrawal period, paid subscriptions are non-refundable except where required by law or where we offer a refund at our discretion (for example, if a serious technical defect prevented you from using the Service for a sustained period). Annual plans, if offered, follow the same rule pro-rated to remaining months.

If you believe you are entitled to a refund, email business@sjuulstudios.com with your invoice number and reason. We respond within 14 days.

Chargebacks

If you have a billing concern, please contact us first - most issues can be resolved quickly. Initiating a chargeback through your bank or card issuer without first contacting us may result in your account being suspended pending resolution. Chargebacks found to be unjustified by the card network may result in a permanent account termination and recovery of any amounts owed plus reasonable administrative costs.

Failed payments

If a renewal payment fails, we will retry it for up to 14 days. If payment is not received, your account will be downgraded to the Free tier and you will lose access to paid features until payment is restored. Existing local files and previously created clips on your device are not affected.

Price changes

We may change subscription prices. We will give existing paid users at least 30 days' notice by email before any price increase, and you can cancel before the new price takes effect.

7. Free tier and fair use

The Free tier is provided as-is, with monthly limits described on our website. We reserve the right to apply reasonable rate-limiting or usage caps to prevent abuse.

8. Intellectual property in the Service

The Service, including its software, design, copy, and branding, is owned by Sjuul Studios and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the term of your subscription (or, for the Free tier, while we make it available).

9. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that drop detection will be perfect, that exports will succeed in every case, or that third-party platforms will accept every clip. Drop detection is a best-effort algorithm, not a guaranteed result.

10. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the claim, or €100, whichever is higher.

We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable law (e.g. liability for gross negligence or wilful misconduct).

11. Termination and suspension

You may stop using the Service at any time by cancelling your subscription and uninstalling the app.

We may suspend or terminate your access, with or without notice depending on circumstances, if you:

If we suspend your account in error, we will reinstate it and credit any lost subscription days. On termination, sections that by their nature should survive (e.g. ownership, indemnification, limitation of liability, dispute resolution) remain in force.

12. Force majeure

Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, war, acts of terrorism, civil unrest, government action, labour disputes, internet or telecommunications outages, failures of third-party services we rely on (e.g. Supabase, Stripe, social-platform APIs), or pandemics. The affected party will notify the other and use reasonable efforts to resume performance.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, for paid users, notify you by email. Continued use after changes take effect constitutes acceptance.

14. Export controls and sanctions

The Service is available worldwide except where prohibited by applicable export-control laws or sanctions. You confirm that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive EU, UN, UK, or US sanctions, and that you are not listed on any government list of restricted or denied parties. You agree not to use the Service for any purpose prohibited by export-control or sanctions laws.

15. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, sale of substantially all our assets, or by operation of law, provided that the assignee assumes our obligations under these Terms. We will notify users of any such change.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect. The invalid provision will be replaced by an enforceable provision that most closely reflects the original intent.

17. Entire agreement

These Terms, together with the Privacy Policy and any additional terms shown at checkout or in-app for specific features, constitute the entire agreement between you and Sjuul Studios regarding the Service. They supersede any prior agreements or understandings on the same subject. No waiver of any breach is a waiver of any subsequent breach.

18. Governing law and disputes

These Terms are governed by the laws of the Netherlands, without regard to its conflict-of-laws principles. Disputes will be resolved by the competent courts of Amsterdam, the Netherlands, unless mandatory consumer-protection law in your country of residence requires otherwise. EU consumers can also use the European Commission's Online Dispute Resolution platform.
